sf2453/enrolled.txtSenateFile2453-EnrolledSenateFile2453ANACTPROVIDINGFORINVESTMENTBYREGENTSINSTITUTIONSINCERTIFIEDINNOVATIONFUNDSANDINCLUDINGEFFECTIVEDATEPROVISIONS.BEITENACTEDBYTHEGENERALASSEMBLYOFTHESTATEOFIOWA:Section1.NEWSECTION.262C.1Findingsandpurpose.1.Legislativefindings.Thegeneralassemblyfindsanddeclaresallofthefollowing:a.ThestateofIowahasestablishedstate-certifiedinnovationfundstopromotethegrowthofhigh-potentialearly-stagecompanies,commercializeresearch,expandIowa’stechnologyecosystem,andenhanceeconomiccompetitiveness.b.Iowa’sthreepublicuniversitiescollectivelystewardsizeableendowmentsthatsupportthelong-termmissionsoftheinstitutions.c.Amodest,risk-appropriateallocationofendowmentassetsintostate-certifiedinnovationfundswilldoallofthefollowing:(1)Expandcommercializationpathwaysforinstitution-developedtechnologies.(2)Increaseresearchtomarketconversions.(3)StrengthenIowa’sinnovationecosystem.(4)GenerateeconomicbenefitsforcommunitiesthroughoutIowa.d.Aonepercentallocationofendowmentassetsrepresentsasmall,diversifiedportionofinstitutionendowments,consistentwithcommonlyacceptedendowmentinvestmentSenateFile2453,p.2practicesandlong-termportfoliostrategies.2.Purpose.ThepurposeofthischapteristosupporteconomicgrowthinIowabyrequiringinstitutionstodeployalimitedportionoftheirendowmentassetsintostate-certifiedinnovationfundswhilemaintainingprudentinvestmentstandardsandfiduciaryresponsibilitytotheendowmentbeneficiaries.Sec.2.NEWSECTION.262C.2Definitions.Asusedinthischapter,unlessthecontextotherwiserequires:1.“Endowmentassets”meansallunrestrictedpooled,long-terminvestmentassetsheldbyorforthebenefitofaninstitution,includingfoundation-managedendowments,quasi-endowments,andlong-terminvestmentpools,assuchassetsarereportedinthefoundation’sauditedfinancialstatements.“Endowmentassets”doesnotincludeassetsnottreatedasendowmentfundsunderapplicablefiduciaryandaccountingstandards.2.“Innovationfund”meansthesameasdefinedinsection15E.52.3.“Institution”meansaregentsinstitutionspecifiedinsection262.7,subsections1through3.Sec.3.NEWSECTION.262C.3Investmentininnovationfunds.1.ByJuly1,2027,eachfoundationaffiliatedwithaninstitutionshallensurethatnolessthanonepercentofitstotalendowmentassetsareinvestedinoneormoreinnovationfunds.Theonepercentallocationshallbecalculatedbasedontheaveragequarterlymarketvalueofendowmentassetsforthemostrecentlycompletedfiscalyear.2.Afoundationaffiliatedwithaninstitutionmaydeterminewhichinnovationfundstoinvestin,thetimingofsuchinvestments,andthestructureofinvestmentcommitments,providedthefoundationremainsresponsibleforcompliancewiththischapter.3.Afoundationaffiliatedwithaninstitutionmayimplementinvestmentsrequiredunderthischapterthroughdirectcommitments,reallocationofexistingassets,orrollingcommitmentsascapitaliscalled,subjecttocompliancewithsubsection1.Ifthepercentageofallocationfallsbelowtheamountrequiredbysubsection1afterthatdate,thefoundationSenateFile2453,p.3shallincreaseitsinvestmentinoneormoreinnovationfundsasprovidedinthischapterasnecessaryinordertomeettherequiredpercentageofallocation.4.Investmentsmadepursuanttothischaptershallbemanagedinaccordancewithgenerallyacceptedinstitutionalfiduciarystandardsapplicabletoendowmentfunds.Sec.4.NEWSECTION.262C.4Waiver.1.Afoundationboardmaygrantafoundationaone-yearwaiverfromtherequirementsofthischapterifadequateinnovationfundcapacityisnotavailableormarketconditionswouldmateriallyimpairprudentinvestment.2.Afoundationboardshallnotgrantawaiverunderthissectionunlessthefoundationsubmitsanexplanationforitswaiverrequestandaplanforcomingintocompliancewiththerequirementsofthischapterinwritingtothestateboardofregentsandprovidesacopytothefoundationboard.3.Ifafoundationisgrantedtwoconsecutivewaiversbyafoundationboard,thefoundationshallsubmitwrittennoticetothateffecttothestateboardofregentswhenthesecondconsecutivewaiverisgranted.Thestateboardshallprovidesuchnoticeinareporttothegeneralassembly.Sec.5.NEWSECTION.262C.5Reports.1.Eachinstitutionshallsubmitanannualreporttothestateboardofregentsthatincludesallofthefollowing:a.Thetotalendowmentassetsheldbytheinstitution.b.Theamountandpercentageoftotalendowmentassetsinvestedininnovationfunds.2.Thestateboardshallcompilethereportsreceivedpursuanttosubsection1andsubmitaconsolidatedannualreporttothegeneralassemblybyDecember1ofeachyear.Sec.6.NEWSECTION.262C.6Standardsforinnovationfunds.Innovationfundsreceivinginvestmentunderthischaptermustsupportthecommercializationofinstitutiontechnologies,spinouts,orresearch-derivedinnovationsandreportsucheffortsthroughexistingreportingandcomplianceobligationsundersection15E.52andrulesadoptedpursuanttothatsection.Thissectionshallnotbeconstruedtorequireadditionalreportingbeyondthatrequiredundersection15E.52andrulesadoptedpursuanttothatsection.SenateFile2453,p.4Sec.7.NEWSECTION.262C.7Listofinnovationfunds.Theeconomicdevelopmentauthorityshallmaintainapubliclistofallinnovationfundseligibleforinvestmentbyafoundationpursuanttothischapter.Theauthorityshallnotifyeachfoundationofanychangestothelist.Sec.8.NEWSECTION
